SPEAKER/TEAM MEMBER AGREEMENT/RELEASE FORM 

For NaiAsa Institute Events or Programs

NaiAsa Institute, a subdivision of PT PMA Pele Makena ‘Aina, hereby called “NaiAsa Institute” for the purpose of this agreement (hereby called “Agreement”) , desires to have you as Faculty, Team Member, or Luminary (hereby called “Team Member” for purposes of this agreement) for an online journey/program, online training, or other virtual event, in addition to live, in-person events, hereby collectively known as “Event” or “Events” for purposes of this Agreement, where applicable.

1. Team Member hereby grants to NaiAsa Institute the right to use his or her name, voice, appearance, likeness, image words, participation and title or professional designation, in whole or in part, in these recordings and/or Compilations and in any correspondence, publicity, advertising, promotional or other derivative materials based on them. NaiAsa Institute has no obligation to make use of the rights granted herein.

Team Member understands that for educational, promotional, or commercial applications, NaiAsa Institute may make Team Member’s presentation/class video/audio recording available for attendees of this Event for the purpose of this Agreement. 

Should Team Member request revocation of this clause for whatever reason after accepting this Agreement (so that a photo or video of them will not be used for purposes outlined in this clause), then Team Member understands that NaiAsa Institute will do what it can to grant this request, but it is under no moral or legal obligation to do so. In addition, Team Member understands and agrees that, should a photo or video be already produced, or a photo or video is in production, and the Team Member requests exclusion from such, that there could be a fee involved with their removal from a photo or video, and that Team Member agrees to pay this fee. 

2. If the Team Member, as part of the Event, has a presentation or class that is recorded (for purposes of this Agreement, collectively called “Recording” or “Recordings”), then Team Member hereby grants NaiAsa Institute the unconditional and irrevocable right to reproduce the Recording in this Event in any format, and to distribute, sell, prepare derivative works, advertise and publicize the recordings without compensation to Team Member. NaiAsa Institute may edit the Recording at its discretion without changing the spirit of the Recording. NaiAsa Institute shall own the worldwide rights, title and interest, including copyright in, and to, the Team Member’s Recording. 

3. Team Member, upon written request to NaiAsa Institute, shall be provided with a copy of his or her Recording in electronic format. 

4. Team Member agrees to send a minimum of 2 emails or other electronic messages (like WhatsApp) to their personal contact list/whole database/newsletter list, whichever has the most number of relevant contacts (for purposes of the Event), and is to promote the Event via social media during an the agreed-upon promotion period, as directed by NaiAsa Institute: 

  • 1 newsletter email or electronic message with the full content dedicated to informing on and promoting/announcing the Event

  • 1 newsletter email or electronic message mention

  • Promote on all available Social Media outlets (swipe copy and visual media will be provided), specifically IG & Facebook Stories at least 1x per week for at least 4 weeks

    PLEASE NOTE: We recongize each Team Member may be at different stages of marketing, and may not have an extensive audience in terms of an email list or social media followers, as examples, so please discuss with NaiAsa Institute. We will work with a Team Member with whatever they can do to share in the means available to them, including, but not limited to, putting up physical flyers or speaking 1-on-1 with contacts.


    For those sharing on social, we realize that the posting frequency for your Social Media outlets is a lot. However, we want all you to be successful and would love nothing more than to compensate you generously in referral rewards. In our last offering, one luminary earned almost 1000 USD from 2 people in her audience using the methods and frequency as above.

    We encourage you to promote more than requested and to utilize your own copy (provided it is in the same spirit and integrity as the copy we provide).


In addition, Team Member will make themselves available for 2 - 4 hours per month commitment for some combination of the following*:

  • Flow Lab Hours, Medicine of Flow Circles, Team Meetings, LIVE Calls, Practicum Calls

  • Support in holding the container. Your presence will be felt and make a huge difference for the trainees. This would entail your commitment to: 

    • attending opening circle and graduation. (exceptions will be considered)

    • reviewing and commenting on Trainee reflections in Podia (our learning platform)

    • reviewing and commenting on Trainee required posts in private FB group

  • Follow and adhere to the "Code of Conduct"

  • “Behind the Scenes” support & participation in dedicated “Team WA Thread” or whatever name it may be given

  • Commit to offering a minimum of one foundational level Flow Lab (or Class) for current trainees. Flow Lab and/or Class “proposal” must be submitted and approved before start of training. 

* NOTE: It’s not required for Team Members to participate in all of the above. We will work with you individually to coordinate the commitments that work best for your schedule.

5. In exchange the Team Member will be given or gain the following: 

  • Listing and mention on NaiAsa Institute website

  • Access to New Training

  • Teaching opportunities within the training

  • Experience

  • Monthly Team Meeting & Optional Flow Lab

  • Facilitation Training Opportunities - Learn how to facilitate Level 1 Flow Practicums

In addition, for every paid-in-full attendee that the Team Member introduces to the training and uses the Team Member’s referral code, they will receive 15% of that attendee’s tuition once their referral has paid the intuition in-full AND 30 days has passed after Program start. (NOTE: the 15% will vary depending on the student’s payment situation - what they pay in tuition may not necessarily be the advertised price.)

For every installments attendee that the Team Member introduces and use the Team Member’s referral code, they will receive 15% of that attendee’s tuition (minus any finance charges) once their referral has paid the intuition in-full AND 30 days has passed after Program start.

Team Member will be sent payment electronically 10 days after whichever condition is completed last.

6. In the event that a participant requests private lessons or sessions from the Team Member, the Team Member will direct all inquiries to NaiAsa Institute who will organize the scheduling and handle all payments.

While the fee schedule is to be determined, the likely split will be 75% (Team Member)/25% (NaiAsa Institute), but this is subject to reasonable change.

7. Should Team Member be designated as a Luminary only (at the discretion of NaiAsa Institute), then Luminary is permitted to make a FREE offer during his or her Presentation/Interview. 

8. Team Member represents that he or she has the full right, power and authority to grant this Release and to perform all of the provisions thereof. Team Member acknowledges that in the event of a breach or alleged breach with respect to the terms and provisions hereof, that NaiAsa Institute  shall be entitled to such injunctive or equitable relief as NaiAsa Institute may deem appropriate, in addition to such other rights or remedies NaiAsa Institute may have at law. 

9. Confidential Matters. The Team Member shall keep in strictest confidence all information relating to this Agreement which may be acquired, whether business or personal, in connection with or as a result of this Agreement, or the work performed by the Team Member as defined in this Agreement. 

10. Non-disclosure. The Parties therefore agree for themselves, their agents, attorneys, successors, heirs, administrators, representatives and assigns, and all related or affiliated persons, that they shall not directly or indirectly disclose, divulge, communicate, display, publish, or reveal the Confidential Matters defined herein through any medium, either orally or in writing, including, but not limited to, electronic mail, television or radio, computer networks or Internet bulletin boards, blogs, social media, such as Facebook, LinkedIn, or Twitter, or any other form of communication to any third party whatsoever including without limitation. 

11. Team Member agrees to indemnify and hold harmless NaiAsa Institute and its employees or agents, affiliates, legal representatives or assigns and all persons acting under its permission or upon its authority or for whom it is acting, from and against all claims, losses, expenses and liabilities of every kind including reasonable mediation and attorney’s fees arising out of the inaccuracy or breach of any provision of this Agreement. Team Member expressly releases NaiAsa Institute from any and all claims arising out of the use of the material. 

12. Non-disparagement. Team Member represents, covenants and agrees that she will not at any time after the acceptance of this Agreement, through any medium, either orally or in writing, including, but not limited to, electronic mail, television or radio, computer networks or Internet bulletin boards, blogs, social media, such as Facebook, LinkedIn, or Twitter, or any other form of communication, disparage, defame, impugn, damage or assail the reputation, or cause or tend to cause the recipient of a communication to question the business condition, integrity, competence, good character, professionalism, or product quality of NaiAsa Institute or its services or business practices, as applicable, whether by virtue of the Agreement or any of the details covered by this Agreement

NaiAsa Institute has been committed to and maintained a “safe place” for any dialogue within its programs, and this extends to any business relationships or partnerships, affiliations or teaching arrangements. NaiAsa Institute believes that “anything can be solved with communication.” 

13. Team Member agrees that if a dispute is not resolved first by good-faith negotiation between the parties to this Agreement, every controversy or dispute to this Agreement will be submitted to the International Centre for Dispute Resolution (www.icdr.org). The arbitration shall occur within ninety (90) days from the date of the initial arbitration demand and shall take place virtually through the ICDR guidelines. The Parties shall cooperate in exchanging and expediting discovery as part of the arbitration process and shall cooperate with each other to ensure that the arbitration process is completed within the ninety (90) day period. The written decision of the arbitrators (which will provide for the payment of costs, including attorneys’ fees) will be absolutely binding and conclusive and not subject to judicial review, and may be entered and enforced in any court of proper jurisdiction, either as a judgment of law or decree in equity, as circumstances may indicate. 

14. Each Team Member agrees to the following Code of Conduct, which is a declaration of acceptable, ethical and professional behavior by which you agree to during the Event, and thereafter if conducting business with the use of your training under NaiAsa Institute.

You agree to uphold the following, ethical principles:

I, as a Team Member, will: 

  1. Respect my own learning journey as a work in process, and I will maintain respect in the ways I speak to and about my process with others.

  2. Encourage diversity by respecting all participants regardless of age, physical limitations, race, creed, ethnicity, religion, political affiliation, stance on vaccinations, or sexual orientation.

  3. Avoid words and actions that constitute any form of harassment or belittlement.

  4. Commit to requesting a direct, respectful, voice conversation before pursuing other avenues of resolution should any conflicts or concerns arise in.

  5. Respect the rights, dignity, decisions and privacy of all participants.

  6. Strive to make conscious lifestyle choices that are aligned with sustainability and respect for not only my fellow humans and creatures, but also for our planet, Earth.

  7. *I will, to the best of my ability, agree to:

    • Be impeccable with my word

    • Not take anything personally

    • Not make assumptions

    • Always do my best

By participating in this Event, you agree to uphold the above ethical and conscious principles.


This Release shall be governed in accordance with International Trade Law, and constitutes the entire agreement of the parties and may be amended only in writing. 


By becoming a Team Member, you accept and agree with all of the statements on this page.
