TERMS & CONDITIONS | 1-ON-1 COACHING SESSIONS/GROUP EVENTS
Soul Flow Arts LLC (DBA NaiAsa Institute)
By participating in any online or live, 1-on-1 coaching session/group event with Soul Flow Arts LLC (DBA NaiAsa Institute), whether complimentary or paid, in-person or virtual, you acknowledge that you have read, understood, and agree to these Terms & Conditions.
1. NATURE OF COACHING SERVICES/GROUP EVENT
Coaching is a collaborative partnership designed to support your personal and professional growth. The coaching relationship involves:
• Goal-setting and action planning
• Exploring challenges and opportunities
• Accountability and support
• Reflective dialogue and feedback
Coaching is NOT:
• Therapy, counseling, or psychological treatment
• Medical advice or diagnosis
• Legal, financial, or tax advice
• A guarantee of specific outcomes or results
You acknowledge that you are responsible for your own decisions, actions, and results. Soul Flow Arts LLC is not responsible for decisions made or not made during or after coaching sessions.
2. REPRESENTATION OF GOOD HEALTH
You confirm that you are in good health and have no physical or mental conditions that would prevent you from fully participating in coaching sessions. If you are currently receiving mental health treatment, you agree that coaching will complement, not replace, your therapeutic care. You acknowledge that Soul Flow Arts LLC is not responsible for providing assistance or costs related to any medical or mental health care.
3. CONFIDENTIALITY
Soul Flow Arts LLC maintains strict confidentiality regarding all information shared during coaching sessions. Information will only be disclosed:
• With your written consent
• When required by law
• To protect your safety or the safety of others
You also agree to maintain confidentiality regarding any proprietary coaching methods, materials, or business practices shared by Soul Flow Arts LLC.
4. SESSION SCHEDULING & CANCELLATION POLICY
Sessions must be scheduled in advance by mutual agreement. The following cancellation policy applies:
• Cancellations or rescheduling requests made with 24+ hours notice: Session will be rescheduled at no charge
• Cancellations or rescheduling requests made with less than 24 hours notice: Session fee is forfeited
• No-shows: Session fee is forfeited
You are responsible for joining virtual sessions on time with a stable internet connection. Technical difficulties on your end do not constitute grounds for refunds or make-up sessions, though reasonable accommodations may be made at the coach's discretion.
5. PAYMENT TERMS (IF APPLICABLE)
All fees must be paid in US Dollars via credit card, debit card, or other agreed-upon method. Payment is due as follows:
• Single sessions: Payment due at time of booking
• Package purchases: Payment terms as outlined in your specific agreement
• Installments: If applicable, include applicable finance charges
Late Payment: Payments not received within 5 days of the due date may incur a late fee of $25 or 5% of the outstanding balance, whichever is greater. Continued non-payment may result in suspension of services.
6. REFUND POLICY
All deposits and payments are NON-REFUNDABLE for any reason, including but not limited to:
• Change of mind
• Personal circumstances or emergencies
• Scheduling conflicts
• Dissatisfaction with services
We strongly recommend purchasing travel or appointment insurance if you have concerns about potential conflicts.
7. RECORDING OF SESSIONS
Soul Flow Arts LLC may record sessions for quality assurance, training purposes, or your benefit (to provide recordings to you). By agreeing to these terms, you consent to the recording of sessions. You will be reminded at the start of each recorded session.
Soul Flow Arts LLC agrees that any recording will be kept strictly confidential and not shared publicly.
You may not record sessions without prior consent from Soul Flow Arts LLC.
8. INTELLECTUAL PROPERTY RIGHTS
All materials, resources, methods, and content provided by Soul Flow Arts LLC remain the intellectual property of Soul Flow Arts LLC. You receive a single-user license for personal use only. You may not:
• Share, copy, distribute, or reproduce materials without written permission
• Use materials for commercial purposes
• Claim ownership of any content or methods
• Teach or sell any proprietary methods or processes
9. USE OF TESTIMONIALS & IMAGES
Soul Flow Arts LLC may request permission to use your testimonials, success stories, or images for marketing purposes. You will be asked for explicit written consent before any such use. You may decline without affecting your coaching services.
If you participate in any group events or recorded sessions that may be used for promotional purposes, you will be notified in advance and may opt out.
10. NO GUARANTEES OF RESULTS
While Soul Flow Arts LLC is committed to supporting your growth and helping you achieve your goals, we make NO GUARANTEES OR WARRANTIES regarding specific outcomes or results. Your results depend on many factors including your effort, commitment, circumstances, and actions. You acknowledge that:
• Coaching outcomes vary by individual
• Success depends largely on your own efforts and application of insights
• Soul Flow Arts LLC is not liable for any lack of results or outcomes
11. LIMITATION OF LIABILITY & RELEASE
To the maximum extent permitted by law, you agree that:
• Soul Flow Arts LLC's total liability shall not exceed the amount you paid for services
• Soul Flow Arts LLC is not liable for any indirect, incidental, or consequential damages
• You voluntarily assume all risks associated with participation in coaching
• You release Soul Flow Arts LLC, and its owners, operators, officers, employees, independent contractors, representatives, and agents from any and all claims arising from your participation in coaching sessions
12. CODE OF CONDUCT
You agree to:
• Maintain respectful, professional communication
• Arrive on time and prepared for sessions
• Complete agreed-upon actions and reflections between sessions
• Respect the coach's time and boundaries
• Engage honestly and openly in the coaching process
• Not engage in harassment, discrimination, or abusive behavior
Soul Flow Arts LLC reserves the right to terminate the coaching relationship if you violate this Code of Conduct, with no refunds provided.
13. TERMINATION
Either party may terminate the coaching relationship with written notice:
• By Coach: Soul Flow Arts LLC may terminate services immediately for non-payment, violation of these terms, or at its discretion. No refunds will be provided.
• By Client: You may terminate services at any time by providing written notice. No refunds will be provided for any unused sessions or materials.
If you discontinue coaching before completing a package or program, all remaining payments are still due unless otherwise agreed in writing.
14. DISPUTE RESOLUTION
Any disputes will first be addressed through good-faith negotiation. If resolution cannot be reached within 30 days, disputes will be submitted to mediation or arbitration through the International Centre for Dispute Resolution (www.icdr.org).
The arbitration shall take place virtually within ninety (90) days from the date of the initial arbitration demand. The written decision of the arbitrators will be binding and may be entered in any court of proper jurisdiction.
15. CHOICE OF LAW
This agreement shall be governed by the laws of the State of Colorado, USA, without regard to conflict of law principles. Any legal proceedings shall take place in Boulder County, Colorado.
16. MODIFICATION OF TERMS
Soul Flow Arts LLC reserves the right to reasonably modify these Terms & Conditions at any time. You will be notified of any material changes. Continued participation in coaching sessions after notification constitutes acceptance of the modified terms.
17. SEVERABILITY
If any provision of these Terms & Conditions is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
18. ENTIRE AGREEMENT
These Terms & Conditions, along with any service-specific agreements you sign, constitute the entire agreement between you and Soul Flow Arts LLC regarding coaching services.
ACKNOWLEDGMENT
By booking a coaching session, making a payment, or participating in any coaching session, you acknowledge that you have carefully read these Terms & Conditions, understand their contents, and agree to be bound by them. You understand that these terms include a release of liability and assumption of risk.
